Terms of Service
LAST UPDATED OCTOBER 14, 2026These Terms govern your access to and use of Kleoverse.
- Add only information that is true, and keep your account secure.
- You control what is published or shared; public views follow your settings.
- Do not impersonate others or misrepresent your employment, education or qualifications.
- These terms may change while Kleoverse evolves.
Welcome to Kleoverse.
These Terms of Service (“Terms”) govern your access to and use of Kleoverse, including our websites, applications, professional profiles, talent discovery features, AI-powered features, integrations, and related services (collectively, the “Service”).
Kleoverse is operated by Progny LLC, a Delaware limited liability company (“Kleoverse,” “we,” “us,” or “our”).
By creating an account, accessing, or using Kleoverse, you agree to these Terms. If you do not agree to these Terms, please do not use the Service.
1. About Kleoverse
Kleoverse is a professional identity platform designed to help people represent who they are professionally through their experience, capabilities, projects, achievements, and supporting evidence.
Kleoverse is built around the idea that your professional identity should be living, user-controlled, and grounded in reality rather than limited to a static resume or profile.
The Service may include professional profiles, evidence and provenance features, talent discovery, opportunity matching, introductions, collaboration tools, AI-assisted functionality, data import tools, and other services related to professional identity and work.
Kleoverse does not guarantee employment, hiring, contracts, introductions, business opportunities, income, or any other professional outcome.
2. Eligibility
You must be legally capable of entering into these Terms to use Kleoverse.
If you use Kleoverse on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
Additional eligibility requirements may apply to particular features or services.
3. Your Account
You must provide accurate information when creating and maintaining your account.
You are responsible for maintaining the security of your account and for activity conducted through it.
You must notify us if you reasonably believe your account has been compromised or accessed without authorization.
You may not:
- impersonate another person;
- create an intentionally misleading professional identity;
- access another person’s account without authorization; or
- misrepresent your relationship with a person, company, organization, project, or institution.
4. Your Professional Identity
Your Kleoverse identity may include your professional experience, projects, capabilities, skills, education, achievements, credentials, evidence, links, contributions, and other information you choose to provide or connect.
Your professional identity remains yours.
You decide what information you add and, subject to the functionality available through Kleoverse, what you make public, keep private, or share with others.
Kleoverse does not acquire ownership of your professional identity simply because you use the Service.
You are responsible for ensuring that information you intentionally submit or publish does not violate applicable law or the rights of others.
5. Your Content
“Your Content” means information, text, images, files, professional history, project information, evidence, links, and other material that you submit to or create through Kleoverse.
You retain ownership of Your Content and any intellectual property rights you have in it.
You grant Progny LLC a limited, non-exclusive, worldwide license to host, store, process, reproduce, format, transmit, and display Your Content only as reasonably necessary to provide, secure, maintain, develop, and operate Kleoverse.
This license does not transfer ownership of Your Content to us.
Where functionality allows, you may delete, modify, or change the visibility of Your Content.
When you intentionally make information public, you acknowledge that it may be accessed, indexed, cached, referenced, copied, or processed by people, search engines, AI systems, and other third-party services outside our control.
Changing information from public to private or deleting it from Kleoverse cannot necessarily remove copies previously obtained or independently stored by third parties.
6. Public and Private Information
Kleoverse is designed to give you control over the visibility of your professional information.
Information you designate as public may be accessible without a Kleoverse account.
Information designated as private should only be used or disclosed according to the permissions, features, and purposes made available through the Service.
Kleoverse may provide machine-readable versions of information you have chosen to make public so that compatible software, search systems, and AI assistants can understand that information.
Making information machine-readable does not change its visibility setting. Private information is not intended to become public merely because Kleoverse supports machine-readable professional identities.
You should nevertheless carefully consider what information you choose to publish on the internet.
7. Evidence and Professional Claims
Kleoverse is designed to help professional claims connect to supporting evidence.
Evidence may include projects, work history, achievements, credentials, contributions, external sources, connected services, imported information, or other relevant material.
Evidence may come from you, organizations, third-party services, public sources, or other permitted sources.
The presence of evidence does not necessarily mean that Kleoverse has independently verified every underlying fact.
Kleoverse may distinguish between different forms, sources, levels, or strengths of evidence and verification.
You may not knowingly:
- fabricate professional evidence;
- claim another person’s work as your own;
- falsify credentials or qualifications;
- intentionally misrepresent employment, projects, achievements, or capabilities; or
- manipulate evidence or verification mechanisms to create a false impression.
Where information is uncertain or unsupported, Kleoverse may identify it accordingly.
8. Artificial Intelligence
Kleoverse uses artificial intelligence to help organize, interpret, summarize, retrieve, compare, and present professional information.
AI may also help identify relationships between professional experience, capabilities, evidence, and opportunities.
AI does not own or control your professional identity. You do.
Kleoverse AI is designed to be grounded in available information and evidence. Our systems are instructed not to knowingly invent professional experience, qualifications, skills, achievements, credentials, projects, or supporting evidence.
Where relevant information is unavailable, uncertain, conflicting, or unsupported, the system is intended to communicate that uncertainty rather than manufacture information and present it as fact.
However, artificial intelligence is probabilistic technology and can make mistakes. AI-generated or AI-assisted output may occasionally be incomplete, inaccurate, or misleading.
You should review important AI-assisted information before relying on it, particularly when making employment, hiring, financial, legal, or other significant decisions.
Where Kleoverse allows AI to suggest changes or additions to your professional identity, appropriate user controls may be provided for reviewing those changes.
Your Kleoverse identity should represent what is known and supported, not what AI imagines.
9. Imported and Connected Information
Kleoverse may allow you to connect, import, retrieve, or organize professional information from third-party services or sources.
You may only connect accounts, access information, or import data that you are authorized to access and use.
You are responsible for complying with applicable third-party terms and restrictions.
Kleoverse does not own third-party services and is not responsible for their availability, accuracy, security, functionality, or policies.
Third-party integrations may change or stop working because of decisions made by those third parties.
Connecting or importing information does not transfer ownership of third-party intellectual property to you or to Kleoverse.
10. Talent Discovery
Kleoverse may allow companies, organizations, recruiters, AI systems, or other authorized users to discover professionals based on professional information available to them.
Discovery may consider information such as experience, capabilities, projects, achievements, evidence, preferences, availability, or other relevant professional context.
Search results, recommendations, relevance descriptions, evidence assessments, or other discovery outputs are informational tools.
They do not guarantee that a person is qualified or suitable for a particular role, project, contract, partnership, investment, or opportunity.
Kleoverse does not guarantee that every potentially relevant professional will appear in a search or that discovery results will always be complete or accurate.
11. AI and Automated Discovery
Kleoverse is designed for a world in which professional discovery may increasingly happen through AI assistants and software agents.
Kleoverse may therefore provide interfaces that allow compatible AI systems and other automated tools to understand information that users have chosen to make available.
Automated access must respect Kleoverse’s permissions, technical restrictions, rate limits, visibility settings, security measures, and other applicable controls.
Public availability does not authorize anyone to bypass technical restrictions or access private information.
Kleoverse may restrict automated access when reasonably necessary to protect users, privacy, security, infrastructure, or the integrity of the Service.
We do not guarantee that any third-party AI assistant, search engine, or automated system will discover, index, rank, recommend, or display a Kleoverse profile.
12. Employers and Organizations
Companies and organizations using Kleoverse are responsible for using professional information lawfully and appropriately.
This includes compliance with applicable employment, privacy, data protection, anti-discrimination, and other laws.
Organizations may not use Kleoverse to unlawfully discriminate against individuals or make prohibited decisions based on protected characteristics.
Kleoverse may assist with discovery and understanding of professional information, but employers and organizations remain responsible for their own hiring, contracting, screening, employment, and other decisions.
Unless expressly stated otherwise for a particular service, Kleoverse is not the employer, recruiter, employment agency, or contracting party in relationships established between users.
13. Introductions and Communications
Kleoverse may enable people and organizations to request introductions, communicate, or create shared spaces around professional opportunities.
Receiving an introduction request does not require you to respond or participate.
Where supported, professionals may review information being shared and choose whether to accept or decline an introduction.
Kleoverse is not responsible for representations, negotiations, agreements, employment relationships, contracts, payments, disputes, or conduct that occurs between users following an introduction.
Users are responsible for exercising appropriate judgment when interacting with people or organizations they meet through Kleoverse.
14. Acceptable Use
You may not use Kleoverse to:
- impersonate another person;
- deliberately create a false professional identity;
- fabricate qualifications, employment, projects, achievements, credentials, or evidence;
- falsely claim another person’s work;
- access private information without authorization;
- bypass privacy, security, or access controls;
- scrape, harvest, or systematically extract information in violation of our technical restrictions or applicable law;
- spam, harass, threaten, abuse, or exploit other users;
- distribute malware or malicious code;
- interfere with or disrupt the Service;
- attempt to gain unauthorized access to Kleoverse systems;
- intentionally manipulate Kleoverse’s evidence, discovery, AI, ranking, recommendation, or security mechanisms;
- use automated systems in violation of published restrictions;
- infringe intellectual property, privacy, publicity, or other rights;
- unlawfully discriminate against individuals; or
- use the Service for unlawful, fraudulent, or deceptive purposes.
We may take reasonable measures to prevent abuse and protect users and the integrity of Kleoverse.
15. Intellectual Property
Kleoverse’s software, technology, interfaces, designs, branding, trademarks, logos, and other intellectual property are owned by Progny LLC or its licensors and are protected by applicable intellectual property laws.
These Terms give you permission to use the Service according to these Terms. They do not transfer ownership of Kleoverse technology or intellectual property to you.
Similarly, using Kleoverse does not transfer ownership of Your Content to us.
16. Feedback
We welcome ideas and feedback about Kleoverse.
If you voluntarily provide feedback, suggestions, or ideas about the Service, you allow us to use them to develop, operate, and improve Kleoverse without an obligation to compensate you.
This does not give us ownership of your professional identity, Your Content, or unrelated intellectual property.
17. Third-Party Services
Kleoverse may contain links to or integrate with third-party websites, applications, APIs, AI systems, data providers, or other services.
Third-party services operate according to their own terms, policies, and practices.
We do not control and are not responsible for third-party services.
Your use of those services may be subject to separate agreements between you and the applicable provider.
18. Paid Services
Some Kleoverse functionality may be free while other features, services, or plans may require payment.
Before you purchase a paid service, we will provide applicable pricing and material billing terms.
Depending on the service, this may include billing frequency, renewal terms, cancellation rights, taxes, and other relevant conditions.
Additional terms may apply to paid, organizational, or enterprise services.
19. Beta and Experimental Features
Kleoverse is continuously evolving.
Some functionality may be identified as beta, experimental, preview, early access, or similar.
These features may contain errors, change substantially, become unavailable, or be discontinued.
You should not rely on experimental functionality for critical purposes unless we expressly state otherwise.
20. Suspension and Termination
You may stop using Kleoverse at any time.
Where functionality is available, you may also request or initiate deletion of your account subject to applicable retention requirements.
We may restrict, suspend, or terminate access when reasonably necessary because of:
- material violations of these Terms;
- fraud or deliberate misrepresentation;
- abuse of other users;
- security threats;
- unlawful activity;
- attempts to compromise the integrity of Kleoverse; or
- legal or regulatory requirements.
Where reasonable and legally permitted, we will attempt to provide appropriate notice before permanent termination.
Provisions that by their nature should survive termination will remain in effect.
21. Service Availability and Changes
We continuously develop and improve Kleoverse.
Features may be introduced, modified, limited, replaced, or discontinued.
We do not guarantee that every feature will always remain available or that the Service will operate without interruption or errors.
We may perform maintenance or make changes necessary for security, legal compliance, performance, or product development.
22. No Guarantee of Professional Outcomes
Kleoverse helps people represent and communicate their professional identity.
It does not guarantee:
- employment;
- interviews;
- job offers;
- freelance work;
- contracts;
- introductions;
- investment;
- business opportunities;
- particular search visibility;
- particular AI recommendations; or
- income or career outcomes.
Professional decisions remain the responsibility of the people and organizations making them.
23. Disclaimers
To the maximum extent permitted by applicable law, Kleoverse is provided on an “as is” and “as available” basis.
We do not guarantee that:
- all information submitted by users is accurate;
- all evidence independently verifies every claim;
- AI-generated or AI-assisted output will always be correct;
- search or discovery results will always be complete;
- third-party integrations will always remain available;
- the Service will always be uninterrupted or error-free; or
- using Kleoverse will produce a particular professional outcome.
Nothing in these Terms excludes warranties, protections, or other rights that cannot legally be excluded.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Progny LLC and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of Kleoverse.
This may include, where legally permitted, loss of profits, opportunities, business, data, reputation, or goodwill.
Nothing in these Terms excludes or limits liability where exclusion or limitation would be prohibited by applicable law.
Additional limitations may apply to paid or enterprise services and will be disclosed in the applicable terms.
25. Privacy
Our collection, use, storage, and processing of personal data is described in the Kleoverse Privacy Policy.
Because professional identity can contain significant personal information, privacy and user control are fundamental to Kleoverse.
We encourage you to review your visibility and sharing settings carefully and read the Privacy Policy before using the Service.
26. Changes to These Terms
We may update these Terms as Kleoverse and applicable laws evolve.
If we make material changes that significantly affect your rights or obligations, we will provide notice as required by applicable law.
The “Last updated” date at the beginning of these Terms indicates when they were most recently revised.
Your continued use of Kleoverse after updated Terms become effective constitutes acceptance of those Terms where permitted by law.
27. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection, privacy, employment, or other applicable laws provide otherwise.
If you are entitled to mandatory rights under the laws of your country or place of residence, these Terms do not remove those rights.
Before initiating formal proceedings, you and Progny LLC are encouraged to attempt to resolve disputes by contacting us at info@kleoverse.com.
Nothing in this section prevents either party from seeking urgent or appropriate legal relief where necessary.
28. General Terms
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
You may not transfer your rights or obligations under these Terms without our consent where consent is legally required.
We may transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.
These Terms, together with any additional terms that apply to particular Kleoverse services, constitute the agreement between you and Progny LLC concerning your use of those services.
